1. About these Terms

These Terms of Service govern your access to and use of www.kloutmarkets.com, the Klout Markets app and all related services, features and content.

By using Klout Markets, you agree to these Terms.

At present, Klout Markets is an early-stage startup based in the United Kingdom and is not yet operated through a formed legal entity. In these Terms, "Klout Markets", "we", "us" and "our" mean the operator of the service.

If you do not agree to these Terms, do not use the service.

2. What Klout Markets is

Klout Markets is a fantasy stock market for Twitch streamers.

The service is designed for entertainment purposes only. It is not a real-money trading platform, not a gambling service, not a securities platform, and not an investment service.

"Shares", "prices", "trades", "rankings" and similar mechanics on Klout Markets are fictional, internal gameplay or engagement mechanics only.

KV is virtual in-app currency only. It has no cash value, cannot be redeemed for cash, crypto or any cash-equivalent, and does not represent property, stored value or a financial instrument.

Nothing on Klout Markets constitutes financial advice, investment advice or a recommendation.

3. Eligibility and accounts

You may use Klout Markets only if you can lawfully enter into a binding agreement under applicable law.

You may create an account using approved login methods we make available, including Twitch login and email login.

You agree to provide accurate information and keep your login credentials secure.

You may not maintain more than one account unless we expressly allow it.

You are responsible for all activity under your account.

4. Beta status

Klout Markets is currently offered free during beta testing.

Because the service is in beta, features may change frequently. We may add, remove, test, suspend or discontinue any feature, including rankings, listings, prices, leaderboards, trades, prizes, balances or account functionality.

5. Listings and Twitch integration

Some streamer-related information may be displayed on Klout Markets where we have the right to use it, including Twitch-derived usernames, profile details, avatars, clips, category information and public-facing stats used for discovery and user profile features.

A streamer may choose to be listed or not listed where that option is provided. Streamers may also request removal, subject to our operational, legal and technical requirements.

Twitch is not affiliated with, responsible for, or endorsing Klout Markets.

6. User content

You may upload or connect certain content, such as profile images and streaming clips.

You retain ownership of your content, but you give Klout Markets a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and use that content as reasonably necessary to operate, improve and promote the service.

You are responsible for ensuring you have all rights needed for any content you upload or connect.

7. Prohibited conduct

You must not:

• cheat or exploit the platform;
• use bots, scripts or automation except where expressly permitted;
• manipulate prices, rankings, leaderboards or engagement signals;
• create fake accounts or impersonate others;
• scrape, copy or harvest data from the service without permission;
• interfere with security or platform stability;
• exploit bugs or vulnerabilities;
• harass, abuse or threaten others;
• buy, sell or transfer accounts without permission;
• use the service unlawfully or in a way that harms Klout Markets, users, streamers or third parties.

8. Investigations, enforcement and platform corrections

We may monitor, investigate and take action regarding suspected fraud, abuse, manipulation, cheating, exploits or other violations.

We reserve the right to:

• suspend or terminate accounts;
• remove content or listings;
• reverse trades;
• adjust balances;
• correct pricing, leaderboard or reward errors;
• freeze or withhold prizes or account features while a review is ongoing.

We will try to act reasonably and, where appropriate, provide warning or notice, but we may act immediately where needed for security, integrity, fraud prevention, legal compliance or platform protection.

9. KV, trades, balances and game mechanics

All virtual balances, rankings, values, prices, trades and rewards on Klout Markets are part of an internal entertainment system.

They may fluctuate, be recalculated, be corrected, be reset or be removed if required for beta testing, fraud prevention, system integrity, bug fixes, operational reasons or platform changes.

We do not guarantee continuity of any virtual balance, ranking, trade history, price history or reward status.

10. Prizes and rewards

From time to time, we may offer prizes or rewards, including streamer-related technology prizes.

Unless we expressly state otherwise:

• prizes are promotional and discretionary;
• eligibility rules may apply;
• prizes may be changed, substituted, delayed or withdrawn where reasonably necessary;
• our decision on verification, eligibility and fulfilment is final, subject to applicable law.

Klout Markets may cover shipping costs where we say we will. You are responsible for providing accurate delivery information and complying with any local laws or import restrictions that may apply to receipt or use of a prize.

If we suspect fraud, abuse, manipulation or rule-breaking, we may withhold, cancel or recover prizes.

11. Paid features and subscriptions

Klout Markets is currently free in beta, but we may later offer one-off paid features and monthly subscriptions.

If we introduce paid services:

• payments may be processed by Stripe or another payment processor;
• pricing, billing terms and feature scope will be disclosed at the time of purchase;
• refunds will generally be handled on a case-by-case basis unless specific product terms say otherwise;
• additional paid-feature terms may apply.

12. Intellectual property

All rights in the Klout Markets service, branding, software, design, text, graphics, databases and platform functionality are owned by or licensed to us, except for third-party content and user content.

You may not copy, modify, distribute, reverse engineer or exploit any part of the service except as allowed by law or with our written permission.

13. Service availability

Klout Markets is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not guarantee that the service will be uninterrupted, secure, error-free or always available, or that any data, ranking, listing, trade, balance or reward will be accurate or preserved without interruption.

14. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the maximum extent permitted by law:

• we exclude all implied warranties, representations and conditions to the extent permitted by law; and
• we are not liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, goodwill, opportunity, data or business interruption.

If you have paid us for the service, our total aggregate liability arising out of or relating to the service will not exceed the total amount you paid to Klout Markets in the 12 months before the event giving rise to the claim.

15. Suspension and termination

We may suspend, restrict or terminate your access at any time if:

• you breach these Terms;
• we suspect fraud, abuse, manipulation or unlawful conduct;
• we are required to do so for legal, regulatory, operational or security reasons;
• we decide to discontinue the service or a feature.

You may stop using the service at any time.

16. Privacy

Our handling of personal data is described in our Privacy Policy.

17. Changes to the service or Terms

We may change these Terms from time to time. If we make material changes, we may post updated Terms on the site or provide notice through the app or by email where appropriate.

Your continued use of the service after changes take effect means you accept the revised Terms.

18. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms or the service, unless mandatory law requires otherwise.
